Terms and Conditions
In order to participate in the Cyberbit free live fire exercise (“Exercise”), you (“You,”) must agree to these Terms and Conditions (“Ts&Cs”). Therefore, please read these Ts&Cs prior to registration to ensure that You understand and agree.
Eligibility and Registration
The Exercise is open to individuals who are eighteen (18) years or older, and are cyber security professionals currently residing (including at the date of the Exercise) in [United States, Canada, United Kingdom, Spain, Portugal, Germany, Switzerland, France, Israel, India, Republic of Korea, Japan, United Arab Emirates] (“Eligible Territory“) and employed either by an entity operating corporate Security Operations Center (“SOC”) or by a Managed Security Services Provider (“MSSP SOC”) based in the Eligible Territory.
Applicants may only participate in groups of up to 8 individuals employed by the same SOC or MSSP SOC, including at least one manager or team leader from the SOC (“Team”). The Team will be registered by one representative.
Registration will be open from May 3, 2024, 00:00 EST until July 31, 2024, 00:00 EST. Cyberbit reserves the right to shorten or extend the above period in its sole discretion.
Cyberbit reserves the right to approve or disapprove any Team or Applicant for participation in the Exercise in accordance with its sole and absolute discretion, based among others, on meeting the criteria detailed above. Applicants who are so approved by Cyberbit shall be referred to below as Participants. Cyberbit will inform the representative who registered the Team of its decision.
Scope
In order to participate in the Exercise, Participants will be required to participate in a preparation call and a debrief call. It is mandatory for the manager or team leader to participate in all such calls. The dates for conducting the Exercise and the calls will be determined by Cyberbit and coordinated with the Participants as much as possible. Nonavailability of the any of the Participants may lead to cancellation of the Exercise.
In order to use the Cyberbit platform participants will be required to approve the Cyberbit Cloud Terms of Use available at www.cyberbit.com/legal .
Privacy
Personal information provided in connection with the Exercise will be used and processed by Cyberbit as necessary for the purposes of administering the Exercise and otherwise in accordance with the Cyberbit Cloud Privacy Policy available at https://www.cyberbit.com/legal. You hereby consent to the collection, use, storage and disclosure of Your personal information for the purposes set out in these Ts&Cs and as detailed in the Terms of Use. To the extent that You provide to Cyberbit any personal information relating to another individual, You hereby represent and warrant to Cyberbit that You have obtained the consent of this individual to provide their personal information to Cyberbit and to the collection, use, storage and disclosure of their personal information for the purposes and as otherwise set out in these Ts&Cs

Trade Restrictions and Export Control
Participants who fall within the scope of this section are not eligible for participation in the Exercise.
Participant represents and warrants that he is not an individual or an entity which is: (i) located in, under the control of, or a national or resident of Cuba, North Korea, Iran, Syria, Lebanon or Sudan or such other countries as may be additionally designated from time to time by the applicable governments where Cyberbit and/or any of its affiliates are incorporated; or (ii) listed under the United States Treasury Department’s Office of Foreign Asset Control list of “specially designated nationals and blocked persons,” the United States Commerce Department’s “denied parties list”, the United States Commerce Department’s “BIS Entity List” or such other applicable lists.
Code of Conduct at the Exercise
Cyberbit is an organization built on integrity and strong moral beliefs. Cyberbit is committed to providing a safe and welcoming space, without regard to age, gender, race, ethnicity, nationality, sexual orientation, gender identity, gender expression, mental or physical disability, physical appearance, neuro(a)typicality, religion, level of knowledge, level of experience, parental status, marital status, socioeconomic status or background, political affiliation, or any other attribute. The Participants are expected to act with the utmost respect for their teammates and should not show any unwelcome or hostile behavior towards another person for any reason. This includes, but is not limited to, offensive verbal comments related to personal characteristics or choices, sexual images or comments, deliberate intimidation, bullying, stalking, following, harassing photography, or recording, sustained disruption of discussion or events, nonconsensual publication of private comments, inappropriate physical contact, or unwelcome sexual attention. Conduct need not be intentional to be harassment.
Right to Cancel, Modify, or Disqualify
If for any reason the Exercise is not capable of running as planned, Cyberbit reserves the right at its sole discretion to cancel, terminate, modify or suspend the Exercise. Cyberbit further reserves the right to disqualify any Participant who does not comply with these Ts&Cs. Cyberbit may change, modify, or amend these Ts&Cs at any time and from time to time in its sole and exclusive discretion.
Limitation of Liability
IN NO EVENT SHALL CYBERBIT, ITS LICENSORS AND/OR AFFILIATES AND/OR ANYONE ON THEIR BEHALF BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL (EXCEPT FOR DAMAGES RELATING TO DEATH OR PERSONAL INJURY IN JURISDICTIONS WHERE SUCH DAMAGES MAY NOT BE DISCLAIMED AS A MATTER OF LAW), PUNITIVE, EXEMPLARY OR RELIANCE DAMAGES, LOSSES OR EXPENSES (INCLUDING WITHOUT LIMITATION LOSS OF PROFIT, LOSS OF REVENUE, LOSS OF BUSINESS OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR LOSS OF USE OR DATA) RELATING TO OR ARISING OUT OF THESE TS&CS, THE EXERCISE, AND ANY RELATED ACTIVITY, HOWEVER CAUSED, AND WHETHER BASED ON CONTRACT, TORT, EQUITY OR ANY OTHER THEORY OF LIABILITY WHATSOEVER, EVEN IF CYBERBIT WAS NOTIFIED OR OTHERWISE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES
THE TOTAL AND AGGREGATE LIABILITY OF CYBERBIT, ITS LICENSORS AND AFFILIATES AND ANYONE ON THEIR BEHALF, TAKEN AS A WHOLE, FOR ANY AND ALL CLAIMS RELATED TO THESE TS&CS, THE EXERCISE AND ANY RELATED ACTIVITY REGARDLESS OF THE CAUSE OF ACTION (WHETHER BASED ON CONTRACT, TORT, EQUITY OR ANY OTHER THEORY OF LIABILITY WHATSOEVER), SHALL NOT EXCEED THE AMOUNT OF US$500 (FIVE HUNDRED US DOLLARS). THE LIMITATIONS CONTAINED IN THIS LIMITATION OF LIABILITY SECTION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE AND/OR ANY OTHER REMEDY PROVIDED UNDER ANY TERM OF THESE TS&CS.
Arbitration
Except where prohibited by law, as a condition of participating in the Exercise, Participant agrees that at the sole and exclusive discretion of Cyberbit any and all disputes and causes of action arising out of or connected with this Exercise, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the Ts&Cs of the American Arbitration Association and held in New York City, New York and judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Exercise).
Choice of Law
All issues and questions concerning the construction, validity, interpretation and enforceability of these Ts&Cs, or the rights and obligations of Participant and Cyberbit in connection with the Exercise, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
